These Terms of Service ("Terms") govern your access to and use of Vōcem, operated by Nola Venture Studios LLC ("we," "our," or "us"). By accessing or using Vōcem, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using Vōcem, you confirm that you:

• Are at least 18 years of age
• Have the legal capacity to enter into this agreement
• Agree to comply with these Terms and all applicable laws

2. Description of Service

Vōcem is an AI-powered knowledge management and content creation platform that helps professionals, academics, and executives:

• Curate and organize content from multiple sources
• Engage with AI to develop insights and ideas
• Create content in their authentic voice
• Publish content across multiple platforms
• Track engagement and improve over time

3. Account Registration and Security

To use Vōcem, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and account
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. Subscription and Payment Terms

Pricing

Vōcem offers various subscription tiers (Free, Creator, Professional, Academic). Pricing is displayed on our website and may change with 30 days' notice to existing subscribers.

Billing

• Subscriptions are billed monthly or annually in advance
• Payment is processed through secure third-party payment processors
• You authorize us to charge your payment method automatically
• Founding members receive lifetime 50% discount as long as subscription remains active

Cancellation and Refunds

• You may cancel your subscription at any time
• Cancellation takes effect at the end of the current billing period
• No refunds for partial months or unused portions of subscription
• Free trial periods may be offered at our discretion

5. Acceptable Use Policy

You agree NOT to use Vōcem to:

• Violate any laws or regulations
• Infringe on intellectual property rights of others
• Generate or distribute spam, malware, or harmful content
• Harass, abuse, or harm others
• Impersonate others or misrepresent your identity
• Attempt to gain unauthorized access to our systems
• Use the service for any illegal or unauthorized purpose
• Generate content that violates third-party platform terms (LinkedIn, Twitter, etc.)

6. Content Ownership and License

Your Content

You retain ownership of all content you create, upload, or generate using Vōcem. By using our service, you grant us a limited license to:

• Store and process your content to provide the service
• Use AI models to analyze and improve content generation
• Display your content back to you across devices

We do NOT claim ownership of your content or use it for purposes other than providing the service.

AI-Generated Content

Content generated by our AI tools is provided to you for your use. You are responsible for:

• Reviewing AI-generated content before publishing
• Ensuring content accuracy and compliance with applicable laws
• Complying with third-party platform terms when publishing

7. Third-Party Integrations

Vōcem integrates with third-party platforms (LinkedIn, Twitter, Medium, etc.). Your use of these integrations is subject to:

• The respective platform's terms of service and privacy policies
• API rate limits and restrictions imposed by these platforms
• Potential service interruptions if third-party APIs change or are discontinued

We are not responsible for issues arising from third-party platform changes or restrictions.

8. Intellectual Property

Vōcem's software, design, logos, and trademarks are owned by Nola Venture Studios LLC. You may not:

• Copy, modify, or create derivative works of our service
• Reverse engineer or attempt to extract source code
• Use our trademarks without written permission
• Remove or modify any proprietary notices

9. Privacy and Data Protection

Our collection and use of your information is governed by our Privacy Policy. By using Vōcem, you consent to our privacy practices.

10. Disclaimers and Limitations of Liability

Service Provided "As Is"

Vōcem is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Accuracy, reliability, or completeness of AI-generated content
• Uninterrupted or error-free service
• Results from using the service

Limitation of Liability

To the fullest extent permitted by law, Nola Venture Studios LLC shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Damages exceeding the amount paid by you in the past 12 months

11. Indemnification

You agree to indemnify and hold harmless Nola Venture Studios LLC from any claims, damages, or expenses (including legal fees) arising from:

• Your use or misuse of Vōcem
• Your violation of these Terms
• Your violation of any third-party rights
• Content you create or publish using our service

12. Termination

We reserve the right to suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Fail to pay subscription fees
• Misuse the service in a way that harms us or other users

Upon termination, your right to use Vōcem ceases immediately. We may delete your data in accordance with our data retention policies.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the service. Continued use after changes constitutes acceptance of the updated Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or use of Vōcem shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

15. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nola Venture Studios LLC.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms without our consent. We may assign our rights and obligations without restriction.
